Overview Legal and Compliance Counsel Our world classLegal & Compliance team at Hexagon's Autonomous Solutionsdivision is hiring a Legal and Compliance Counsel. Reporting to ourVice President, Division General Counsel, and Division ComplianceOfficer, you will draft, review, and negotiate complex contractsand be responsible for legal compliance initiatives and ad-hocprojects. You are passionate about providing insightful, thorough,focused, and risk-based legal guidance. Your stakeholders rely onyou as a trusted advisor to provide timely, pragmatic,business-oriented solutions as you effectively manage legal risk.With a focus on delivering exceptional results, your positivity,confidence, articulate communication, strong relationship building,and solid business acumen will support and complement our globalteam. The Location: Hexagon is a global company with locationsaround the world. This position is based in Aberdeen, Scotland.Responsibilities As Legal and Compliance Counsel you will beresponsible for these activities: - Provide authoritative andcomprehensive legal services meeting the commercial and strategicneeds of the business. - Advise on legal risks and mitigationstrategies, and support good governance through appropriatediscussion and escalation of issues. - Review, draft, and negotiatea variety of commercial contracts and government procurementtransactions, including customer and supplier agreements,distribution agreements, intellectual property licenses,non-disclosure agreements, development agreements, and real estateleases. - Maintain company registers, drafting resolutions andboard minutes. - Develop and deliver legal and compliance trainingacross the organization. - Help maintain and develop policies,standards, and checklists. - Identify and analyze new legislationand proactively propose and implement solutions. - Participate incross-functional project teams and committees. - Develop andoversee ethics and compliance programs to promote a culture ofintegrity and ethical conduct within the organization. Conductinternal investigations into allegations of misconduct and takeappropriate remedial action when necessary. Qualifications MustHave: - An LLB or JD from an accredited university and license topractice in your governing jurisdiction. - At least 15 years ofcorporate commercial experience gained in-house or at a top-tierlaw firm. - Expertise in dealing with international corporate,commercial, and technology development contracts. - Track record ofdelivering results and pragmatic, risk-based legal advice. - Superbaccuracy and attention to detail. - Exceptional time management andorganization skills, with the ability to meet deadlines and managecompeting priorities in a fast-paced environment. - Ability toimpact and influence both internal and external stakeholders andprovide exceptional customer service.
