About The Role
Team – Company Secretary
Working Pattern - Hybrid – 2 days per week in the Vitality London Office. Full time, 37.5  hours per week. 
This role is full time but we're open to part time (3-4 days per week)
We’re looking for someone who can start straight away or within a month. If you need more time, don’t worry – we’re also hiring for a permanent position. Apply for the permanent role if your notice period is longer than a month. If you’re available sooner, you might be considered for both the fixed-term and permanent roles.

Lead the Company Secretariat team in all matters related to the corporate governance of Vitality.
Key Actions

Responsibility for the Secretariat Function which consists of a Deputy Company Secretary and two Assistant Company Secretaries.
Ensures that the companies with the UK Group complies with their Articles of Association, the Companies Act 2006 and any other relevant legislation.
Providing day-to-day advice on wider commercial matters, including management of reputational risk, regulatory framework and governance matters.
Responsible for ensuring that the organisation complies maintains a high standard of corporate governance.
Engaging with the Board members on a regular and ad-hoc basis to ensure their requirements for business understanding are met.
Attending the Boards, Remuneration and Nomination Committees, taking the minutes, ensuring a high level of accuracy with regards to capturing an account of the meetings and agreed actions.
Ensuring high quality minutes and account taken for sub-committee and advisory committees of the Board, including the Risk Committee, Audit Committee, Actuarial Committee and Technology Committee.
Ensuring the high-quality minutes and actions are taken for the Product Oversight and Governance Committees.
Ensure the Terms of Reference of all Board Committees (including sub and advisory), and other governance committees enables a high level of corporate governance.
Distribution and tracking Board and Committee actions.
Drafting annual Board effectiveness reviews and reporting to the Board accordingly.
Ensuring that the Code of Corporate Governance is adhered to where relevant.
Responsible for the annual programme and setting of meeting agendas and assisting with ensuring that the Boards are considering the most appropriate topics.
Ensuring the Board receives adequate and relevant training and that all new Directors receive an appropriate Induction Programme
Working with the business to ensure a positive governance culture is enabled and embedded. Work closely with senior executives within the business to ensure effective communication
Ad hoc projects in order to support and develop your understanding of the businessWhat do you need to thrive?

ICSA qualified
Strong technical knowledge and familiarity with implementing the requirements of the Corporate Governance Code
Strong attention to detail, highly literate, ideally with good numeracy
Knowledge of insurance sector
Flexible approach
Ability to build relationships with key stakeholders across the business, including the Board, the CFO, and senior leadership team
Ability to communicate view and opinions clearly and persuasively
Willing to take ownership of business area and design/deliver improved processes and precedents to drive efficiencies.
Confident and effective communicator, with good written skills and commercial understanding
